CBK Approves Transfer of Access Bank Kenya Assets to NBK

The announcement comes weeks after the Central Bank of Kenya (CBK) approved the transfer of all assets and liabilities belonging to Access Bank (Kenya) Plc to National Bank of Kenya Limited (NBK).

In a statement issued on Wednesday, September 23, the regulator said it had approved the transaction on August 17, 2026, before the National Treasury Cabinet Secretary granted a separate approval on September 21.

The approvals were issued under the relevant provisions of the Banking Act, paving the way for the transfer to proceed subject to the terms agreed upon by the two institutions.

CBK clarified that the transfer would take effect once the parties completed the transaction in accordance with their Business and Assets Transfer Agreement.

NBK was established in 1968 as a wholly government-owned institution to expand access to credit for Kenyans and support the country’s economic management following independence.

KCB Group Plc acquired full ownership of NBK in September 2019 before selling its entire shareholding to Access Bank Plc in May 2025.

Access Bank Plc entered the Kenyan market in February 2020 after acquiring Transnational Bank Plc, which was subsequently renamed Access Bank (Kenya) Plc. Transnational Bank had commenced operations in December 1985.

The banking group also operates a subsidiary in the United Kingdom, representative offices in China, India and Lebanon, and a branch in the United Arab Emirates.

CBK said the transfer was expected to reinforce stability and resilience in Kenya’s banking sector while promoting competition among financial institutions.

The regulator welcomed the transaction, noting that it would help sustain stability and strengthen the resilience of the country’s banking industry.
