KCB Group Acquires Minority Stake in Pesapal Limited to Drive Digital Payment Innovation


KCB Group PLC has announced the acquisition of a minority stake in Pesapal Limited, a move set to strengthen the bank’s foothold in the fast-growing digital payments landscape.

In a statement dated 31 October 2025, KCB Group said it had entered into an agreement to purchase a minority shareholding in Pesapal, a licensed payment service provider regulated by the Central Bank of Kenya. The acquisition is expected to accelerate the development of innovative payment and financial solutions targeting Kenya’s small and medium-sized enterprises (SMEs) and micro-entrepreneurs.

“This investment sets the stage for development of innovative payment and other related solutions for Kenya’s small and micro enterprises enhancing value for shareholders of both Pesapal and KCB,” said Bonnie Okumu, KCB Group’s General Counsel and Company Secretary, in a statement issued on behalf of the board.

The transaction, which remains subject to customary closing conditions, is pending regulatory approvals, including that of the Central Bank of Kenya.

Pesapal Limited has been a key player in Kenya’s fintech ecosystem, offering digital payment solutions for merchants and consumers across East Africa. The company’s partnership with KCB is expected to boost its capacity to expand services and improve financial inclusivity through technology.

KCB Group’s transaction advisers for the deal were KCB Investment Bank Limited, while DLA Piper Africa, Kenya (IKM Advocates) served as the legal advisers.

The announcement was approved by the Capital Markets Authority (CMA), although the regulator clarified that it does not take responsibility for the accuracy of the statements made in the notice.

With this investment, KCB Group continues its strategic push into digital financial services, a sector that has become central to Kenya’s economy and financial innovation.
